A property acquisition can generally be executed through a direct acquisition of the asset, or through an acquisition of the shares of the company holding the property. The fiscal and legal features of the two acquisition schemes are fundamentally different. During this workshop, the main differences between an asset deal and a share deal will be highlighted, and disposal schemes which, through a reduction of tax leakages, allow to increase the return on investment, will be commented on. The most recent legislation, case law, and positions of the tax administration will in this respect be taken into consideration.
